Terms of Service

1 Definitions

• “Platform” means YUPA's mobile app, website, and related services.
• “User” means any individual who creates an account, including both Customers and Providers.
• “Customer” (or “Requester”) means a user who posts a task or hires a Provider.
• “Provider” means a student user who offers or performs services. Providers are independent individuals — not employees, contractors, partners, or agents of YUPA.
• “Services” means the tasks or gigs arranged between Users through the Platform.
• “Stripe” means our third-party payment processor that handles in-app transactions.

2 Eligibility

• You must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter into binding contracts.
• Providers must verify student status with a valid institutional (.edu) email address and complete identity verification.
• You agree to provide accurate information and to keep your account details current.
• YUPA welcomes both domestic and international students. Each user is solely responsible for ensuring their use complies with applicable laws, including immigration, tax, and employment regulations.

3 How YUPA Works

YUPA is a technology platform that connects Customers with nearby student Providers. YUPA only facilitates the connection between Users. We are not a party to, and are not responsible for, the agreements, services, or interactions between Customers and Providers.

• YUPA does not employ, manage, direct, or supervise Providers, and does not perform the Services itself.
• Providers act at their own discretion and are solely responsible for how they perform Services.
• Customers engage Providers at their own discretion and risk, and are responsible for evaluating the suitability of any Provider.
• To support a safer community, YUPA provides tools including identity verification for Providers, in-app chat, ratings and reviews, a ranking system, reporting, blocking, and cancellations. These tools assist Users but do not guarantee any outcome, and do not make YUPA responsible for User conduct.

4 Location-Based Services

• YUPA is a location-based platform. We use your device location to show nearby jobs, Providers, and Customers and to power matching and distance features.
• By using the Platform, you consent to the collection and use of your location as described in our Privacy Policy. You can control location permissions through your device settings, but some features may not work without location access.
• You agree not to misrepresent or spoof your location.

5 Payments, Fees & Commissions

All payments for Services are processed in-app through Stripe. By transacting on the Platform, you authorize YUPA and Stripe to process the applicable amounts and you agree to Stripe's terms. YUPA's only sources of revenue are the fees described below:

• Provider commission — 18%. YUPA retains a commission equal to 18% of the total amount earned by the Provider for a completed job.
• Customer service fee — 5%. A service fee equal to 5% of the job amount is added to the Customer's total at checkout.
• Cancellation fees. Cancellation fees may apply when a job is cancelled, as described in Section 6 and disclosed in the app at the time of booking or cancellation.

YUPA does not charge any other fees. Fees may be updated from time to time, and any changes will be disclosed in the app before they apply to a transaction. Providers are paid out through Stripe to their connected account, subject to Stripe's processing times and requirements.

Providers are independent and solely responsible for their own taxes on amounts earned. YUPA and/or Stripe may issue tax documentation where required by law.

6 Cancellations & Refunds

• Users may cancel a job through the Platform. Depending on timing and circumstances, a cancellation fee may apply, as disclosed in the app.
• Cancellation fees help compensate for time reserved and discourage last-minute cancellations.
• Refunds for eligible transactions are handled in-app through Stripe in accordance with our then-current cancellation and refund policies shown at the time of booking.
• Because Services are performed by independent Providers, YUPA does not guarantee the quality or completion of any Service, and refund eligibility for completed work is determined case by case.

7 User Conduct

You agree not to:

• Use the Platform for unlawful purposes or to violate school, local, state, or federal laws.
• Harass, threaten, defraud, discriminate against, or harm other Users.
• Post false, misleading, or fraudulent information, or misrepresent your identity or affiliation.
• Arrange payment outside the Platform to avoid fees, or circumvent the Stripe in-app payment system.
• Offer or request services that are illegal, dangerous, or that you are not qualified or authorized to perform.
• Interfere with, scrape, or disrupt the Platform or its security features.

8 Provider Responsibilities

Providers are independent individuals and are solely responsible for:

• How, when, and whether they perform any Service, using their own judgment and discretion.
• Complying with all applicable laws, licenses, permits, and tax obligations related to the Services they provide.
• Maintaining the skills, equipment, and authorizations needed for the Services they offer.
• Ensuring, for international students, that participation complies with their visa and immigration conditions.

YUPA does not verify the qualifications, skill, or legal eligibility of any Provider beyond the verification tools we offer, and assumes no responsibility for enforcing these requirements.

9 Trust, Safety & Reviews

• YUPA offers a review and rating system, a ranking system, in-app chat, reporting, blocking, identity verification for Providers, and cancellation tools to help foster a trustworthy community.
• These features are provided “as available” and are aids only — they do not guarantee the conduct, reliability, safety, or quality of any User or Service.
• Reviews and ratings reflect the opinions of Users, not YUPA. You agree your submissions are honest and not abusive, and you grant YUPA a license to display them on the Platform.
• You are responsible for your own safety and decisions. Always use good judgment when meeting or hiring someone.

10 Account Suspension & Termination

YUPA may suspend or terminate any account, at any time and at our discretion, for:

• Violations of these Terms;
• Fraudulent, harmful, or unsafe activity;
• Misuse of the Platform or its payment system; or
• Conduct that harms other Users, YUPA's reputation, or community standards.

Terminated Users lose access to the Platform and may be permanently banned. You may close your account at any time.

11 Disclaimer of Warranties

• The Platform is provided “as is” and “as available,” without warranties of any kind.
• YUPA makes no warranties about the conduct, reliability, safety, legality, quality, or suitability of any User, Provider, Customer, or Service.
• YUPA does not guarantee that you will find a Provider, find work, receive payment, or earn income.
• YUPA is not responsible for the acts or omissions of any User. Any Service you give or receive is at your own discretion and risk.

12 Limitation of Liability

To the maximum extent permitted by law, YUPA is not liable for:

• Any disputes, injuries, losses, or damages arising from Services or interactions between Users;
• The acts, omissions, conduct, negligence, or misrepresentations of any User or Provider;
• Unfulfilled, incomplete, or unsatisfactory Services; or
• Indirect, incidental, special, or consequential damages.

YUPA's total liability for any claim is limited to the total fees YUPA actually received from you in connection with the transaction giving rise to the claim during the 30 days before the claim arose.

13 Indemnification

You agree to indemnify and hold harmless YUPA, its affiliates, officers, employees, and partners from any claims, damages, losses, liabilities, or expenses (including legal fees) arising from:

• Your use of the Platform;
• Your violation of these Terms or any law; or
• Any Service you provide or receive, or any interaction with another User.

14 Governing Law & Dispute Resolution

• These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules.
• Any dispute will be resolved by binding arbitration under the rules of the American Arbitration Association (AAA).
• You waive any right to a jury trial or to participate in a class action.
• Payment processing disputes may also be subject to Stripe's policies and procedures.

15 Changes to These Terms

YUPA may revise these Terms at any time. Updates become effective when posted, and we will indicate the “Last updated” date above. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
